Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 7, 2007 the Board of Directors of Golden Telecom, Inc. (the "Company") approved amendments to Article VI of the Company’s By-laws to allow for uncertificated shares to be issued in order to comply with United States Securities & Exchange Commission and NASDAQ regulations relating to inclusion in the Direct Registration System. The By-laws of the Company, as amended and restated, are filed herewith as Exhibit 3.1 and incorporated herein by reference.
