Item 1.01 Entry into a Material Definitive Agreement.
On December 18, 2017, Peabody Energy Corporation (the Company) amended its Credit Agreement (as previously amended, the Credit Agreement) by entering into Amendment No. 3 to Credit Agreement (the Amendment), by and among the Company, the subsidiaries of the Company party thereto as reaffirming parties, the lenders party thereto and Goldman Sachs Bank USA, as administrative agent.
Pursuant to the Amendment, the Company, among other things, established additional incremental revolving credit commitments under its incremental revolving credit facility (the Incremental Revolving Facility) to increase the principal amount of the Incremental Revolving Facility by an aggregate principal amount of $80,000,000 (the Additional Incremental Revolving Commitments) resulting in total commitments under the Incremental Revolving Facility of $350,000,000. The terms and conditions that apply to the Additional Incremental Revolving Commitments are identical to the terms and conditions that apply to the Incremental Revolving Credit Commitments existing immediately prior to the Amendment.
