(b) On April 21, 2016, Brook H. Byers notified CareDx, Inc. (the “Company”) that he would be retiring from the Company’s board of directors (the “Board”), effective at the time of the Company’s 2016 Annual Meeting of Stockholders on June 16, 2016, and therefore would not stand for re-election. Mr. Byers has been a member of the Board since January 2003.
