Item 5.07. | Submission of Matters to a Vote of Security Holders. |
Continental Resources, Inc. (the Company) held its Annual Meeting of Shareholders (the Annual Meeting) on May 26, 2011. At the meeting, the Companys shareholders were requested to:
| elect two Class I directors to serve on the Companys Board of Directors for a term of office expiring at the Companys 2014 Annual Meeting of Shareholders; |
| ratify the selection of Grant Thornton LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2011; |
| approve, by a non-binding vote, the compensation of the Companys named executive officers; and |
| approve, by a non-binding vote, the frequency of shareholder advisory votes on the compensation of the Companys named executive officers. |
Each of these items is more fully described in the Companys proxy statement filed on April 13, 2011. The certified results of the matters voted upon at the Annual Meeting are as follows:
Proposal No. 1 Election of Directors: The election of each Class I director required the affirmative vote of a plurality of the shares present in person or represented by proxy at the Annual Meeting. The shareholders elected the following nominees:

Proposal No. 2 Ratification of Selection of Independent Registered Public Accounting Firm: The ratification of the selection of Grant Thornton LLP required an affirmative vote from the majority of shares present and entitled to vote either in person or by proxy at the Annual Meeting. The shareholders approved the ratification of the appointment of Grant Thornton LLP as the Companys independent registered public accounting firm for 2011. The voting results are as follows:

Proposal No. 3 Advisory (Non-Binding) Vote Approving Compensation of the Companys Named Executive Officers: The approval, by a non-binding vote, of the compensation of the Companys named executive officers required an affirmative vote from the majority of shares present and entitled to vote either in person or by proxy at the Annual Meeting. Proposal No. 4 Advisory (Non-Binding) Vote Approving the Frequency of Advisory Votes on Executive Compensation: The frequency (every one, two or three years) receiving the greatest number of votes from the shares present and entitled to vote either in person or by proxy at the Annual Meeting is considered the frequency recommended by the Companys shareholders. The shareholders approved, on an advisory basis, the holding of an advisory vote on executive compensation every three years. The voting results are as follows:

A majority of the votes cast by shareholders voted, on an advisory basis, to hold an advisory vote to approve executive compensation every three years. In line with this recommendation by the Companys shareholders, the Board of Directors, at its meeting held May 26, 2011, decided that it will include an advisory shareholder vote on executive compensation in its proxy materials every third year until the next required advisory vote on the frequency of shareholder votes on executive compensation, which will occur no later than our Annual Meeting of Shareholders in 2017.
