Item 2.02 Results of Operations and Financial Condition

On August 16, 2010, Nautilus, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended June 30, 2010. On the same day, the Company held a previously-announced conference call related to its quarterly financial results. A copy of the press release is attached as Exhibit 99.1 and a transcript of the earnings conference call is attached as Exhibit 99.2.
