Item 8.01. Other Events.

On February 27, 2009, Exelon Corporation (Exelon), Exelon Xchange Corporation (Xchange) and PECO Energy Company (PECO) submitted to the Pennsylvania Public Utility Commission (PAPUC) an Application for Certificates of Public Convenience Evidencing Approval of the Transfer of Ultimate Control (PA Application) of NRG Energy Center Pittsburgh LLC and NRG Energy Center Harrisburg LLC (Pennsylvania Energy Centers), each an indirect wholly-owned subsidiary of NRG Energy, Inc. (NRG), and, under an alternative potential corporate structure, of a possible change of control of PECO. The PAPUC regulates the Pennsylvania Energy Centers as utilities and must approve the change in control that would result from Exelon’s acquisition of NRG. A copy of the PA Application is available and accessible at the PAPUC website at http://www.puc.state.pa.us/general/search.aspx using docket numbers A-2009-2093057, A-2009-2093058 and A-2009-2093059.
