Other Events.

As previously reported, in December 2006, Endeavor Acquisition Corp. entered into an agreement and plan of reorganization (“Agreement”) by which it will acquire American Apparel, Inc. and its affiliated companies (collectively, “American Apparel”). On August 20, 2007, Endeavor issued the attached press release.
