(b) On October 30, 2006, Jeanne P. Jackson resigned from her position as a director of Williams-Sonoma, Inc. At the time of her resignation, Ms. Jackson also served as a member of the Audit and Finance Committee and the Compensation Committee of the Board of Directors.
