Item 1.01 | Entry into a Material Definitive Agreement. |
On July 11, 2006 SCOLR Pharma, Inc. completed an amendment to the license agreement with Temple University dated September 6, 2000, relating to SCOLRs rights to U.S. Patent No. 6,090,411 (the salt patent). The amendment provides for a reduction in the amount of the royalty for sales of prescription drugs covered by the license as well as a reduction in the annual license maintenance fee payable to Temple University. Under the terms of Temple Universitys development policy, the inventors of the patent receive 50% of the royalty payments received by the University. In connection with the amendment to the license agreement, we paid $400,000 in cash to the inventors of the patent, including $200,000 to Dr. Reza Fassihi, a member of our board of directors, and the inventors agreed to waive their rights to payment of royalties received by Temple University based on sales of prescription drugs as well as the portion of the annual license maintenance fee attributable to prescription drugs.
