SECTION 1 – REGISTRANT’S BUSINESS AND OPERATIONS

 

Item 1.01 Entry into a Material Definitive Agreement

 

On October 29, 2004, New Century Credit Corporation, a wholly-owned direct subsidiary of New Century Financial Corporation (“NCFC”), NC Capital Corporation (“NCCC”), a wholly-owned indirect subsidiary of NCFC, and NC Residual II Corporation, a wholly-owned direct subsidiary of NCCC, entered into a letter agreement with Bear Stearns Mortgage Capital Corporation (“Bear Stearns”), which extends the expiration date of the credit facility with Bear Stearns from October 30, 2004 until November 30, 2004. The letter agreement is filed as Exhibit 10.1 to this Current Report and is incorporated herein by reference.
