(1) This Form 4/A is being filed to amend the Form 4 originally filed by the Reporting Person on February 25, 2013 (the "Original Form 4").
(2) These purchases were effected pursuant to a Rule 10b5-1 trading plan adopted by the Trust (as defined in footnote 5 below) on November 1, 2012.
(3) Price reflected is the weighted-average purchase price for shares purchased. The range of purchase prices for the transactions reported was $3.75 to $4.00 per share. The Reporting Person undertakes to provide, upon request by the SEC staff, the issuer, or a security holder of the issuer, full information regarding the number of shares purchased at each separate price.
(4) Due to a clerical addition error, the Original Form 4 reflected a one hundred (100) shares shortage whereas these amounts have been corrected in this Form 4/A filing.
(5) Shares held directly by the Stephen M. Case Revocable Trust under agreement, dated December 17, 1998, as amended (the "Trust"). Mr. Case serves as the sole trustee of the Trust and has the sole power to direct the vote and disposition of the shares held by the Trust.
(6) Price reflected is the weighted-average purchase price for shares purchased. The range of purchase prices for the transactions reported was $3.96 to $4.00 per share. The Reporting Person undertakes to provide, upon request by the SEC staff, the issuer, or a security holder of the issuer, full information regarding the number of shares purchased at each separate price.
