(b) Departure of Officers
On February 1, 2008, Hungarian Telephone and Cable Corp. ("the Company") and Tamas Vagany (a "named executive officer" in the Company's proxy statement for its 2007 Annual Stockholders Meeting) reached a mutual agreement, following an organizational change, pursuant to which Mr. Vagany's employment with the Company would terminate on February 8, 2008.
