Remarks: In addition to the shares reported herein, (i) the Reporting Person holds a stock option granted on August 1, 2004 for 125,000 shares of Common Stock, a stock option granted on September 1, 2005 for 62,500 shares of Common Stock, a stock option granted on December 1, 2005 for 8,929 shares of Common Stock, a stock option granted on March 1, 2006 for 8,929 shares of Common Stock, and a stock option granted on September 1, 2006 for 3,750 shares of Common Stock, (ii) New Enterprise Associates 10, Limited Partnership ("NEA 10") owns (a) 21,092,317 shares of Common Stock and (b) a convertible note for $11,416,250 convertible at a rate of $14,22 per share of Common Stock and (iii) New Enterprise Associates 11, L.P. ("NEA 11") owns (a) 6,838,051 shares of Common Stock and (b) a convertible note for $3,805,416.67 convertible at a rate of $14.22 per share of Common Stock. Also, NEA Ventures 2003, L.P. owns 21,428 shares of Common Stock of the Issuer as a result of the conversion of the Series B Preferred Stock. The Reporting Person does not have voting nor dispositive powers over any such shares held by NEA 10, NEA 11, and NEA Ventures 2003, L.P. The Reporting Person disclaims beneficial ownership, within the meaning of Section 16 of the Securities Exchange Act of 1934, as amended, of such portion of those shares in which the Reporting Person has no actual pecuniary interest therein. |
