Item 8.01
Other Events.
 
           Effective immediately, J. C. Penney Company, Inc. (“Company”) will no longer provide its executive officers with tax reimbursement payments for any taxes incurred as a result of the imputed income related to the personal use of the Company’s aircraft, including travel by an executive’s family members on business trips.
