Item 8.01 Other Events.

On December 4, 2007, the Board of Directors of Oil-Dri Corporation of America (the “Registrant”) declared regular quarterly cash dividends of $0.13 per share of the Registrant’s Common Stock and $0.0975 per share of the Registrant’s Class B Stock. The dividends will be payable on March 7, 2008, to stockholders of record at the close of business on February 22, 2008. A copy of the Registrant’s press release announcing these matters is attached as Exhibit 99.1 and the information contained therein is incorporated herein by reference.
