Item 5.02 Departure of Directors or Certain Officers.

On July 8, 2007, Patrick McManus resigned as a member of the Board of Directors of the Company. Mr. McManus’s resignation was due to personal reasons and not because of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
