PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
TravelCenters of America LLC (the Company) expected to file its Annual Report on Form 10-K for the year ended December 31, 2011 (2011 Form 10-K) within the prescribed time period, however there was a delay in communications. At or around 5:30 p.m., Eastern time, on March 15, 2012, the Company instructed that its 2011 Form 10-K be submitted via EDGAR for filing. The Companys 2011 Form 10-K was accepted by EDGAR for filing at 5:34 p.m., Eastern time, on March 15, 2012 and assigned a filing date of March 16, 2012. While the Companys 2011 Form 10-K was filed earlier today, the Company is filing this Form 12b-25 to ensure compliance with Rule 12b-25 and to preserve the Companys eligibility to utilize short form registration statements.

The Companys net income for the year ended December 31, 2011 was $23,574,000, as compared to the Companys net loss of $66,690,000 for the year ended December 31, 2010. For more information, please see the Companys 2011 Form 10-K which was filed earlier today.
