Item 5.07 Submission of Matters to a Vote of Security Holders.

The Annual Meeting of Stockholders (the “Annual Meeting”) of Core Molding Technologies, Inc. (the “Company”) was held on May 9, 2012. A total of 6,487,823 shares of the Company’s common stock entitled to vote were present or represented by proxy at the Annual Meeting constituting a quorum. At the Annual Meeting, the Company’s stockholders approved the two proposals which are described in detail in the Company’s definitive proxy statement dated April 9, 2012 (“Definitive Proxy”). Abstentions and broker non-votes were counted for purposes of determining whether a quorum was present.

With respect to the election of directors, broker non-votes were not treated as a vote for or against any particular nominee and did not affect the outcome of the election of directors. With respect to the ratification of the appointment of Crowe Horwath LLP as the Company’s independent registered public accounting firm, broker non-votes did not have any affect on the outcome of the vote.
