On September 10, 2004, 21st Century Insurance Group, a Delaware corporation (the "Company"), announced that Carmelo Spinella, the Company's Chief Financial Officer and Senior Vice President, has resigned his positions with the Company. Mr. Spinella will stay with the Company until the Company's third quarter financial statements are issued. The information contained in the Company's press release dated September 10, 2004, in connection with the announcement is included as Exhibit 99.1 to this Form 8-K and incorporated into this Item 5.02 by reference.
